Terms of Service

1. Nature of Engagement

E8Y provides professional technology consulting and Fractional CTO services. Engagements are structured as strategic partnerships aimed at optimizing technical leadership and operational efficiency. These services are provided on a consulting basis and do not constitute a full-time employment relationship.

2. Services and Delivery

Services are delivered via the E8Y Four-Step Process: Learn, Plan, Implement, and Track. The specific scope of work, deliverables, and timelines are defined in separate Statements of Work (SOW) or engagement letters agreed upon by both parties.

3. Intellectual Property

Unless otherwise agreed in writing, all custom software and strategic roadmaps developed specifically for the client during the "Implement" phase shall become the property of the client upon full payment of fees. E8Y retains ownership of its proprietary methodologies, frameworks, and pre-existing tools used during the engagement.

4. Confidentiality

Both parties agree to maintain strict confidentiality regarding all proprietary business information, trade secrets, and technical data exchanged during the engagement. This obligation extends beyond the termination of the services.

5. Limitation of Liability

While E8Y provides expert strategic guidance, the final implementation of recommendations rests with the client. E8Y shall not be liable for indirect, incidental, or consequential damages arising from the use of its consulting services.
